Terms of Service

Terms for using Holy Resource and its associated services.

TL;DR

Holy Resource is licensed software, not an unrestricted public utility. You are responsible for your users, local data, backups, provider credentials, and compliance. Optional sync, updates, messaging, payments, and AI features may involve networked or third-party services.

These Terms of Service ("Terms") form a legally binding agreement between you and Found CTRL ("Found CTRL," "we," "us," or "our") governing your access to and use of Holy Resource, including the desktop application, installers, documentation, download pages, updates, paid licensing, optional sync capabilities, optional communication and automation tools, and related services (collectively, the "Services").

Found CTRL Limited is a company registered in England and Wales (company no. 17079973). We operate the Services globally; networked features may cross borders and are subject to local laws wherever they are used. Your use of the Services from outside the UK means you are responsible for complying with any additional laws that apply in your jurisdiction.

These Terms should be read together with our Privacy Policy and, where applicable, our Data Processing Addendum and Subprocessor List.

1. Acceptance of Terms

By installing, downloading, accessing, configuring, activating, updating, or using the Services, you agree to these Terms. If you are using Holy Resource on behalf of a church, ministry, charity, nonprofit, or other organization, you represent that you are authorized to bind that entity to these Terms.

If you do not agree to these Terms, do not install or use Holy Resource.

2. Nature of the Product

Holy Resource is a local-first, privacy-oriented desktop church-management platform. It is designed so that core church records are stored locally by default, while certain capabilities may rely on connected or provider-backed workflows.

Depending on plan, configuration, and enabled modules, the Services may include:

  • licensing and feature entitlement,
  • owner claim, invite, and recovery workflows,
  • offline lease and revalidation logic,
  • optional branch-scoped synchronization,
  • update checks and update installation,
  • payments and donor-facing giving workflows,
  • communication, automation, and notification features,
  • AI-assisted drafting or generation tools,
  • support and troubleshooting workflows.

3. Eligibility and Organizational Authority

You may use Holy Resource only if:

  • you are at least 18 years old and capable of entering into a binding legal agreement;

  • you can lawfully enter into this agreement,

  • your use complies with applicable law,

  • you have authority to act for the organization using the software where applicable.

You are responsible for ensuring that staff, volunteers, contractors, and other authorized users comply with these Terms.

4. License Grant

Subject to your compliance with these Terms and any applicable paid plan or license restrictions, Found CTRL grants you a limited, non-exclusive, non-transferable, revocable license to install and use Holy Resource for your organization's internal administrative, operational, ministry, finance, communication, and recordkeeping purposes.

This license does not transfer ownership of the software, installer assets, documentation, trademarks, or related intellectual property.

5. License Scope, Activation, and Ownership Flows

Holy Resource may require license validation, owner verification, or related activation steps. Depending on the workflow, this can include:

  • validating a license key,
  • associating a license with an organization,
  • verifying an owner or checkout email,
  • owner claim or owner recovery on a specific device,
  • invite creation or redemption,
  • issuing or renewing offline lease state,
  • revalidation after offline grace or lease conditions,
  • suspending or limiting access when license conditions are not met.

You agree that:

  • license scope is tied to the purchased organization, plan, and feature set,
  • license state may include device-sensitive or locally stored credentials or tokens,
  • offline use may still be subject to revalidation requirements,
  • owner claim or recovery flows may require proof tied to the original purchasing or owner email,
  • attempted circumvention of activation or enforcement logic is prohibited.

6. Local-first Operation and Customer Responsibilities

Holy Resource is built to store core church records locally by default. That architecture gives you more control, but it also places real operational responsibilities on you.

You are responsible for:

  • backups,
  • local device security,
  • workstation and server hardening,
  • secure credential handling,
  • antivirus or endpoint protection where appropriate,
  • password hygiene,
  • role and permission administration,
  • revoking access for former staff or volunteers,
  • maintaining sufficient internal policies for privacy and safeguarding.

Found CTRL does not guarantee recovery of locally stored data if your device, storage medium, local database, encryption, or environment is lost, corrupted, compromised, or mismanaged.

7. Branch Model and Internal Access Control

Holy Resource supports branch-aware operations. You acknowledge that:

  • branch assignments, permissions, and access boundaries are part of your internal governance,
  • you are responsible for deciding who may access which branch or dataset,
  • misconfiguration of users, permissions, routes, or branch access can expose data to the wrong internal users,
  • you are responsible for reviewing access and permissions regularly.

8. Sync Features

Holy Resource may offer optional synchronization capabilities. These may include local queuing, peer or network discovery, server-target sync, conflict detection, and conflict resolution.

If you enable sync:

  • data may leave the local device,
  • records may be queued for later transmission,
  • conflicts may occur between local and remote edits,
  • sync behavior may depend on network availability, peer availability, provider uptime, and your configuration,
  • not every queued operation is guaranteed to succeed on the first attempt,
  • you remain responsible for verifying important records after sync operations.

If sync is disabled, some workflows may remain fully local and may not propagate to other devices.

9. Account and User Responsibilities

You are responsible for all activity that occurs through your installed environment, organization account context, and authorized-user access, except to the extent caused solely by our own breach of these Terms or applicable law.

You must ensure that authorized users:

  • use the software lawfully,
  • protect credentials,
  • do not share access inappropriately,
  • do not impersonate other users,
  • do not misuse communication, finance, volunteer, attendance, kids, or pastoral workflows.

10. Acceptable Use

You must not, and must not permit others to:

  • use bots, scrapers, automated tools, or other means to access or interact with the Services in a manner that imposes unreasonable load or interferes with normal operation,
  • use Holy Resource for unlawful, fraudulent, abusive, discriminatory, exploitative, or rights-violating conduct,
  • bypass licensing, owner-verification, or offline enforcement logic,
  • tamper with installer, updater, or signing workflows,
  • reverse engineer, decompile, or disassemble the app except where non-waivable law expressly permits it,
  • distribute or publish license keys, owner credentials, recovery flows, or internal activation materials,
  • scrape, overload, rate-abuse, or attack any related service endpoint,
  • upload malware, malicious scripts, or harmful content,
  • use the Services to send spam, phishing, harassment, or unauthorized mass communications,
  • use the Services in a way that creates a false impression of official endorsement, certification, distribution, or partnership,
  • interfere with update delivery, sync integrity, security checks, or abuse protections,
  • use the software to process data you are not lawfully permitted to collect or handle.

11. Communications and Messaging Rules

Holy Resource may support email, SMS, internal automation, and local notifications through configured providers and branch-specific messaging settings.

If you use these features, you are responsible for:

  • obtaining appropriate consent or lawful basis to contact recipients,
  • using accurate and verified sender information,
  • following applicable anti-spam, privacy, telecom, and ministry policies,
  • safeguarding provider credentials,
  • reviewing delivery failures, routing policies, and quota usage.

We may restrict or investigate use that appears abusive, fraudulent, or operationally harmful.

12. Payments, Billing, and Renewals

Some Holy Resource capabilities require paid access. Depending on configuration and product surface, payment workflows may involve external processors, recurring billing, donor-facing links, or gateway-based donation flows.

You agree that:

  • fees, taxes, and plan terms may apply,
  • renewals may affect continued feature availability,
  • refunds, disputes, and chargebacks may affect service or license state,
  • payment processors or gateways may impose their own terms,
  • we may suspend or restrict paid capabilities where invoices are unpaid or commercial abuse is reasonably suspected.

Unless otherwise required by law or expressly stated in writing, fees are non-refundable after the relevant service has been provisioned or the license has been activated.

13. Updates and Release Delivery

Holy Resource may check for updates and may use signed release metadata, release artifacts, public release endpoints, or authenticated update endpoints.

You acknowledge that:

  • update checks may contact remote endpoints,
  • optional locally stored update access tokens may be used on your device to access certain update infrastructure,
  • installing updates is your responsibility unless a managed deployment process says otherwise,
  • older app versions may become unsupported or less secure over time,
  • update delivery may depend on third-party hosting, release, or network infrastructure,
  • certain installer or runtime prerequisites may be required for installation or update workflows.

We may discontinue support for old versions, refuse downgrades where configured, or require reasonably current versions for security and compatibility reasons.

14. AI-Assisted Features

Some features may use external AI providers for drafting, summarization, or other assistance. If you enable or use such features:

  • prompts and related context may be sent to a third-party provider,
  • generated output may be inaccurate, incomplete, biased, or unsuitable for your ministry or legal context,
  • you remain responsible for human review and final decisions,
  • you must not rely on AI output as legal, tax, accounting, safeguarding, clinical, or pastoral advice.

15. Your Data

As between you and Found CTRL, you retain rights in the church records, content, and organization data you lawfully input into Holy Resource ("Church Data").

You grant us only the limited rights reasonably necessary to provide the Services, such as validating licenses, processing related service operations, enabling optional connected features you deliberately use, and providing support.

You represent and warrant that you have the rights and permissions needed to collect, use, store, message, export, sync, and otherwise process the data you place into Holy Resource.

16. Sensitive, Child, and Ministry Data

Holy Resource may be used to manage records involving children, guardians, pastoral care, giving, volunteer roles, attendance, and other sensitive ministry contexts. You are solely responsible for ensuring your use complies with:

  • privacy law,
  • child-protection and safeguarding requirements,
  • labor or volunteer screening rules,
  • financial and tax obligations,
  • denominational or organizational governance requirements,
  • internal retention and deletion policies.

Found CTRL does not provide legal, safeguarding, tax, accounting, employment, or regulatory advice.

17. Third-Party Services

Holy Resource may integrate with or depend on third-party services for payments, email, SMS, hosting, release distribution, AI, notifications, sync infrastructure, or other operational functions.

Those services are not controlled by us in all respects and may have their own:

  • terms,
  • privacy policies,
  • uptime standards,
  • rate limits,
  • geographic restrictions,
  • suspension rules,
  • security practices.

We are not responsible for third-party outages, policy changes, security incidents, billing disputes, or enforcement actions outside our reasonable control.

18. Intellectual Property

Except for your Church Data and any non-waivable rights you may have under law, all rights in and to Holy Resource remain with Found CTRL or its licensors, including:

  • software code,
  • installers,
  • updater metadata,
  • documentation,
  • branding,
  • trade dress,
  • user-interface elements,
  • graphics,
  • trademarks,
  • release assets.

No rights are granted except as expressly stated in these Terms.

19. Branding and Distribution Restrictions

"Holy Resource," related names, logos, visual branding, installer artwork, and other brand assets are owned by us unless otherwise stated.

You must not:

  • imply endorsement or official distribution without written permission,
  • publish modified installers as official builds,
  • mirror or redistribute installer assets in misleading ways,
  • register confusingly similar domains, packages, pages, or social handles,
  • remove or alter proprietary or attribution notices.

Truthful nominative use is permitted where it is accurate and non-misleading.

20. Feedback

If you submit feedback, suggestions, ideas, enhancement requests, or bug reports, you grant us a worldwide, non-exclusive, royalty-free right to use that feedback to improve the Services without obligation to compensate you.

21. Suspension and Termination

We may suspend, limit, or terminate some or all access to the Services if:

  • you materially breach these Terms,
  • your payment obligations are overdue,
  • your license expires and applicable grace or revalidation conditions are not satisfied,
  • fraud, abuse, or unauthorized distribution is reasonably suspected,
  • law, regulation, or valid legal process requires action,
  • continued service would create material operational, security, or legal risk.

Upon termination:

  • your right to use the applicable licensed Services ends,
  • you must stop using affected services and licensed materials,
  • locally stored Church Data may remain under your control on your own systems unless separately removed by you,
  • some records may still be retained by us where necessary for legal, security, payment, support, or dispute purposes.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLY RESOURCE AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR LOSSLESS.

We do not warrant that:

  • local data will never be lost,
  • sync will always succeed or remain conflict-free,
  • communications will always be delivered,
  • payment providers will always remain available,
  • updates will always be instantly available in every region,
  • AI output will be correct or suitable for your use case.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUND CTRL AND ITS AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR SERVICE AVAILABILITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

If you are a consumer, these limitations apply only to the extent permitted by law and do not affect your statutory rights.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • the amount you paid us for the relevant paid Services during the 30 days preceding the event giving rise to the claim, or
  • the minimum amount that cannot be excluded under applicable law.

24. Indemnity

You agree to defend, indemnify, and hold harmless Found CTRL and its affiliates, personnel, and service providers from third-party claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your Church Data,
  • your use of the Services,
  • your breach of these Terms,
  • your violation of applicable law,
  • your infringement or misuse of another party's rights,
  • your communications, fundraising, or data-processing practices.

25. Electronic Communications

By using the Services, submitting forms, or providing contact information, you agree that we may communicate with you electronically (e.g. via email, in‑app notifications, or other electronic means). You consent to receive notices, disclosures, agreements, and other communications electronically, and such communications satisfy any legal requirement that they be in writing.

26. Changes to Terms

We may update these Terms from time to time. Unless a different effective-date process is required by law, the updated Terms become effective when posted or otherwise made available through the Services. Your continued use after the effective date means you accept the revised Terms.

27. Governing Law

These Terms are governed by the laws of the jurisdiction in which Found CTRL is organized or otherwise contracts with you, without regard to conflict-of-law rules, unless applicable law requires otherwise.
